GEORGETOWN SPECIAL TAXING DISTRICT
BOARD OF DIRECTORS SPECIAL MEETING

DATE:     Wednesday, August 5, 2009
TIME:         10:30 A.M.
PLACE:     Redding Town Hall, 100 Hill Road, Redding, CT. Those unable to attend in person may call into the meeting (call in number will be provided upon request).

AGENDA

A.          Call to Order.

B.          New Business.

1.  To appoint one or two members to the Board of Directors to fill one or two vacancies.

2.  To receive an update from the District Vice President on the extension to the Forbearance Agreement with BRP Investments III, LLC to allow for additional time to negotiate the repayment of the Tax Anticipation Note by the sale or transfer of the tax liens.

3. To discuss and take further actions to collect the taxes due from the taxpayer for the current (7/1/09 to 6/30/10) fiscal year.

4. To approve the Continuing Disclosure Information and the Quarterly Project Activity Report for the quarter ended June 30, 2009.
                
5.  To schedule a Special District Meeting for _________, August ___,  2009 at _____ A.M. to amend the District budget to account for the additional interest expense on the Tax Anticipation Note.

6.  To receive a report from the District President on general and financial matters affecting the District.
                
7.  To discuss and act on the District’s options to address its financial situation, including foreclosure of properties within the District, the filing of bankruptcy and/or other workout scenarios. (Note - this item may be continued for further discussion and action until after the Board meets with the Town and OPM in Executive Session)    

C.    Executive Session - Meeting with Representatives of the Town and OPM

   1.  To enter Executive Session to discuss pending litigation - the District’s consideration to implement legal relief from claims from creditors.  (Requires 2/3 vote; motion and minutes must specify non-Board members invited into Executive Session).

D.      Adjournment.
