A. Call to Order.
B. New Business.
1. To receive an update from the District President on the appointment of Daniel Heller to the Board of Directors
and as Treasurer of the District.
2. To appoint another member to the Board of Directors to fill the remaining vacancy.
3. To receive an update from the District Vice President on the sale or transfer of the tax liens to Brownfield Renaissance
Partners to satisfy the payment obligation under the Tax Anticipation Note (the “TAN”).
4. To authorize the District Vice President to extend the Forbearance Agreement with BRP Investments III, LLC to allow for
additional time to negotiate the repayment of the TAN by the sale or transfer of the tax liens.
5. To discuss and authorize the filing of a material event notice with the information repositories regarding the nonpayment
of the TAN at its maturity.
6. To receive an update on the District’s insurance policies and coverage.
7. To discuss and act on the District’s options to address its financial situation, including foreclosure of properties within
the District, the filing of bankruptcy and/or other workout scenarios.
8. To schedule a Special Board of Directors Meeting for Wednesday, August 5, 2009 at 10:30 AM.
